General

These terms and conditions of sale are expressly made part of the quotation and order acknowledgement of Narda-MITEQ.  Any terms and conditions contained in the Buyer's purchase order, which are in addition to or inconsistent with the terms and conditions contained herein shall not be binding upon Narda-MITEQ unless they are expressly agreed to by ANarda-MITEQ TM in writing.

Prices

Prior to placing an order, contact the factory or your local Narda-MITEQ Sales Representative for price, availability, and delivery information. When placing an order be sure to identify source of pricing information, such as Quotation Number, E-Mail, or Telephone Reference. All prices are FOB Narda-MITEQ, Hauppauge, New York, USA. Pricing does not include any type of additional charges such as shipping and handling. Quotations are valid 90 days from date of quote. All pricing is current at time of quotation; however, due to continual product improvement Narda-MITEQ reserves the right to change specifications and prices without notice.

Minimum Order

All orders less than two hundred dollars ($200.00) net will not be accepted unless mutually agreed upon between the Buyer and Narda-MITEQ. A one thousand dollar (1,000.00) net minimum order is required for the first order from new customers requesting open account payment terms.

Terms of Payment

Domestic Usa Customers:
Unless otherwise agreed by Narda-MITEQ in writing, payment terms are thirty (30) days net from the date of invoice, upon credit approval by Narda-MITEQ. Shipments are made to unrated firms, C.O.D. unless credit has been established or upon receipt of advance payment. Visa, MasterCard, AMEX and Discover are also accepted upon completion of Narda-MITEQ’s credit card authorization form.

Foreign Customers:
Unless otherwise agreed by Narda-MITEQ in writing, payment will be accepted by bank check or wire transfer in advance of shipment. Upon receipt of purchase order Narda-MITEQ will provide a Pro Forma Invoice. Visa, MasterCard, AMEX and Discover are also accepted upon completion of Narda-MITEQ’s credit card authorization form. Narda-MITEQ reserves the right to charge a processing or bank handling fee for any non-credit card international orders.

Open Accounts:
Net 30 - List
Net 60 - List plus 2.5%
Net 90 - List plus 5%
Net 120 - List plus 7.5%

Shipments

Risk of Loss:
Unless otherwise agreed by Narda-MITEQ in writing, all sales are made F.O.B. Narda-MITEQ’s factory in Hauppauge, NY. Risk of loss shall pass to Buyer when the goods are delivered to the carrier. Therefore any damage incurred during shipment must be settled between the Buyer and the Carrier. The most appropriate means of transportation will be chosen by Narda-MITEQ unless otherwise specified on the Buyer’s P.O. Nominally UPS or Federal Express is used.

Partial Shipments:
Narda-MITEQ reserves the right to make partial shipments when the balance of the order will not be available for 1 week and where the individual shipment is $200 minimum. For orders specifying no partial shipment there is a consolidation fee of $50 plus 5% of total order value.

Warranty:

Narda-MITEQ warrants each product it manufactures to be free from defect in workmanship and materials under normal use and service for one year from date of shipment. All Warranty returns must be authorized by Narda-MITEQ and given a Return Materials Authorization Number (RMA#) prior to their return. Arrange with Narda-MITEQ to have any product found defective under normal use during this one year period to be returned to the factory where it will be repaired or replaced. Narda-MITEQ shall not be liable for transportation, installation, or consequential damages. Narda-MITEQ makes no other warranty expressed or implied.

Change Orders and Cancellations

Change Orders regarding price, delivery, or any conditions not specified on the original order will be considered in effect after mutual agreement has been affirmed in writing between the Buyer and Narda-MITEQ. Cancellation of any accepted order can only be made after written consent of Narda-MITEQ. All cancellations will be dependent upon customer’s agreement to satisfy all charges incurred by Narda-MITEQ, including, but not limited to, charges for work in process, purchase commitments, amortized costs, tooling and production interruption. Narda-MITEQ will endeavor to stop work promptly upon notification of cancellation.

The terms and conditions set forth herein constitute the final written expression of all of the terms and conditions of sale and are a complete and exclusive statement of those terms.

Any and all representations, promises, warranties or statements by Seller's employees or agents that differ in any way from the terms and conditions set forth herein shall be of no force and effect.
